Chapter 1 of You Called Me a Gold Digger, Now Your Company Needs My Signature

The default notice from Pacific Commercial sat in the center of the conference table, printed on heavy stock paper that looked entirely too formal for a death sentence.

"They're triggering the collateral clause by five o'clock tomorrow," David Keller, my CFO, said. He didn't look up from his tablet. "If we don't pledge the secondary patents or deposit fifteen million in liquid reserves, they freeze the fifty-million-dollar revolving line."

I leaned back in my leather chair, keeping my expression flat. "We have the receivables from the Q3 enterprise rollouts."

"Those receivables are sixty days out, Ryan," David countered, his voice cutting through the tension in the boardroom. "Our current burn rate gives Mercer Dynamics exactly six weeks of cash. Forty-two days. After that, payroll bounces."

A heavy silence settled over the board members seated around the mahogany table. Six years of aggressive scaling, four acquisitions, and twenty-two floors of prime downtown real estate, reduced to a six-week countdown.

Beside me, Sabrina placed a manicured hand over my forearm. Her diamond ring caught the recessed LED lighting above us.

"David, you're looking at this through an accountant's lens," Sabrina said, her voice smooth, calm, and reassuring. "Ryan built this company on aggressive positioning. The banks always threaten to pull the lines right before a major refinancing. If we stay firm and show them our pipeline, they will back down. They need us to succeed just as much as we need the facility."

I nodded slightly, appreciating her composure even as my stomach tightened. Sabrina always knew how to project authority in front of the board.

Greg Hughes, one of our earliest outside directors, cleared his throat. "When we looked at the original growth roadmap years ago, the initial cash flow model projected this exact liquidity trap if we scaled manufacturing before securing multi-year debt. Why did we deviate from that safety margin?"

A bitter smirk touched my lips. I knew exactly whose model he was referring to.

"Natalie never understood this business anyway," I said dismissively, brushing lint off my suit jacket. "She wanted us to sit on cash and grow at five percent a year like a mom-and-pop shop. If I had listened to her, Mercer Dynamics wouldn't have crossed a five-hundred-million-dollar valuation in year four. Caution doesn't build market leaders."

Greg didn't look convinced, but he didn't push further.

The heavy double doors clicked open, and Martin from our legal team walked in, carrying two scuffed cardboard storage boxes. He set them down on the credenza with a dull thud.

"What are those?" I asked.

"Founding records from six years ago," Martin said, wiping dust from his fingers. "Vantage Peak Capital sent their preliminary diligence requirements twenty minutes ago. They're the only private equity group willing to discuss a sixty-million-dollar rescue bridge, but they set a non-negotiable prerequisite before opening financial terms."

David straightened. "What kind of prerequisite?"

"A complete re-audit of our inception-era governance and operational setup," Martin replied. "They want the raw paper files from year one. Every agreement, every internal calculation, every original signed ledger."

I frowned, standing up and walking over to the boxes. "Why would a top-tier private equity firm care about how we handled office leases and seed inventory six years ago?"

"They claim they need to verify the integrity of the core intellectual property and early balance sheets," Martin said.

I pulled open the top flap of the first box. Inside were manila folders with handwritten labels, preserved from the days when Mercer Dynamics operated out of a converted garage on the industrial fringe of the city.

I opened the top binder. It was the original five-year financial projection.

Almost every page was marked with blue and red ink. Clean, precise cursive ran along the margins, challenging my early revenue assumptions, recalculating equipment depreciation, and stress-testing our credit exposure.

On page fourteen, right beside the aggressive debt schedule I had insisted on using to fund our first assembly line, a bold red circle jumped out at me.

Below it, in Natalie's neat handwriting, were nine words:

*Never finance long-term expansion with short-term credit.*

Underneath the warning, she had written out a mock stress-test scenario showing that if our revolving credit tightened during a market contraction, the interest payments would suffocate our operating cash within forty-five days.

Six years ago, I had laughed at that note. I had told her she was thinking like a bookkeeper instead of a tech founder.

Now, six years later, that exact mechanism was choking the company to death.

Sabrina walked over to my side, glancing down at the open folder. When she recognized the handwriting, a faint sneer touched the corner of her mouth.

"Oh, please," Sabrina said loud enough for the table to hear. "Ryan, you used to have her organize your scratch notes because we couldn't afford an executive assistant back then. Scribbling numbers in the margins doesn't make someone a strategist."

She turned toward the board members with an easy, dismissive smile.

"Let's not romanticize the past," Sabrina continued smoothly. "Natalie walked away with a very generous settlement during the divorce. Stock buyouts, property, cash. She already took more than enough from this company's foundation. Dragging her old notes into a serious institutional negotiation is ridiculous."

I kept my hand flat on the paper, letting Sabrina's words hang in the air. I didn't correct her. Admitting that Natalie had mapped out our current crisis before our first product launch was a concession I refused to make, especially in front of my own board.

David walked over and reached into the second box, pulling out a thick accordion folder marked *Early Vendor Partnerships*. He flipped through the tabbed sections, his eyebrows pulling together as he scanned the yellowing contracts.

"Wait a minute," David said.

"What is it?" I asked.

"Apex Precision, Northstar Logistics, OmniFab," David read, tracing his finger down the execution pages. "These were the three tier-one manufacturers that agreed to ninety-day payment terms during our first eighteen months. Without those terms, our early cash reserves would have run dry before Series A."

"I closed those accounts," I said automatically.

David turned the contract around and laid it flat under the overhead lights.

"The primary signatory and sole negotiating representative on all three master agreements is Natalie Cole," David said quietly. "Her signature is on every addendum. Yours isn't on these documents at all, Ryan."

A tense silence fell over the room. Greg leaned forward, staring at the signatures, while Sabrina's smile tightened into a rigid line.

Before I could speak, David's laptop chimed with an incoming notification. He pulled the machine toward him and clicked on the screen.

"It's the formal diligence letter from Vantage Peak," David said, his voice dropping an octave.

"Read it," I demanded, stepping away from the archive boxes.

"They've outlined five mandatory conditions before they release the term sheet for the sixty million," David said, his eyes scanning the text. "Condition one is listed in bold."

He paused, glancing up at me with an expression I couldn't immediately read.

"What does it say, David?" Sabrina asked impatiently.

David cleared his throat and read directly from the screen:

"'Condition One: Full reconstruction and institutional verification of all founder-era operational contributions, early commercial negotiations, and foundational financial authorship.'"

The blood drained from my face.

A standard institutional financing review audited current EBITDA, intellectual property patents, and projected revenue multiples. They didn't ask for the forensic reconstruction of who had drafted the company's first contracts six years in the past.

Unless they already knew what those boxes contained.

Unless someone was systematically checking every piece of history my family had spent the last three years sweeping out of public sight.

The conference room door cracked open again. My executive assistant, Sarah, stepped inside, clutching a tablet to her chest. She looked between me and the silent board members, sensing the heavy atmosphere.

"Mr. Mercer," Sarah said cautiously.

"Not now, Sarah," I snapped.

"It's Vantage Peak's scheduling coordinator," she said, her voice trembling slightly under my gaze. "They just confirmed the meeting. Their lead partner will meet you in forty-eight hours."
